User Agreement

This User Agreement (the "Agreement") is a legal agreement between you (the "User") and CROFTECH LTD ("Everijob", "we", "us", or "our"). This Agreement governs your use of the Everijob Marketplace (the "Marketplace"), which is owned and operated by Croftech Ltd (trading as Everijob), a company incorporated in England and Wales (company number 13093853) and having its registered address at 20-22 Wenlock Road, London, N1 7GU.

CROFTECH LTD. ("Everijob"). which enables users to connect with and hire freelancers for various projects and Employer services. By accessing or using the Marketplace, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you may not access or use the Website (Marketplace).

MARKETPLACE: - The Marketplace is a platform that allows Freelancers and Employers to connect and transact business. * Everijob is not a party to any contracts entered into between Freelancers and Employers. * Everijob is not responsible for the quality of the goods or services provided by Freelancers or Employers. * Everijob is not responsible for any disputes between Freelancers and Employers.

ACCOUNT ELIGIBILITY: - You must be at least 18 years of age and have the legal capacity to enter into a binding contract in order to use the Services. Everijob reserves the right to refuse or terminate an account at any time, for any reason, without prior notice.

ACCOUNT TYPES: - There are two types of Everijob accounts: client accounts and freelancer accounts. 2. Client accounts are for businesses and individuals who need to find freelancers to complete projects. 3. Freelancer accounts are for individuals who offer their services on Everijob.

ACCOUNT PERMISSIONS: - The permissions that you have on Everijob depend on your account type. 2. Client account holders can post projects, search for freelancers, and communicate with freelancers. 3. Freelancer account holders can create profiles, submit bids on projects, and communicate with clients.

PURPOSE OF Everijob: - Everijob is an online platform that connects businesses and individuals with freelancers. 2. Everijob provides the tools and services that you need to find and hire freelancers for your projects.

RELATIONSHIP WITH Everijob: -. Everijob is not an employer, agent, or partner of any user. 2. Everijob does not control the terms of any contract between clients and freelancers.

WORKER CLASSIFICATION: - Freelancers are independent contractors and not employees of Everijob or its clients. 2. Freelancers are responsible for their own taxes and contributions.

Everijob FEES: -Everijob charges fees to clients and freelancers for the use of its services. 2. The fees are set forth in the Everijob Fee Schedule.

FEES FOR FREELANCERS: - Freelancers are charged a monthly fee.

CLIENT FEES: - Clients are charged a nominal handling fee of 2.3% for each invoice you pay. The fee is a percentage of the project budget.

RECORDS OF COMPLIANCE: - Everijob maintains records of relevant compliance documents, such as licenses, permits, and registrations, to ensure adherence to applicable laws and regulations.

AGREEMENT TERM AND TERMINATION: - This Agreement shall remain in effect until terminated. - Everijob reserves the right to terminate this Agreement at any time for any reason, with or without notice. - Termination of this Agreement will not affect any accrued rights or obligations of the parties.

ACCOUNT DATA ON CLOSURE: - Upon termination of this Agreement, Everijob may delete or destroy any data associated with the User's account, including transaction records and communications.

INFORMAL DISPUTE RESOLUTION: - Before initiating arbitration, the parties shall attempt to resolve any dispute through informal negotiations.

ACCESS OF THE SITE OUTSIDE THE UNITED KINGDOM: - Everijob makes no representation that the platform or its content is appropriate or available for use in locations outside the United Kingdom. - Accessing the platform from territories where its content is illegal is prohibited.

CONSENT TO USE ELECTRONIC RECORDS: - The parties agree to the use of electronic records and signatures in connection with this Agreement.

MARKETPLACE FEEDBACK AND USER CONTENT: - You are responsible for the content that you post on Everijob. 2. You must not post any content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, hateful, or racially, ethnically, or otherwise objectionable. 3. Everijob reserves the right to remove any content that it deems to be inappropriate.

CONTRACTUAL RELATIONSHIP BETWEEN CLIENT AND FREELANCER: - 1. A contractual relationship is created between a client and a freelancer when the client accepts a freelancer's bid on a project. 2. The terms of the contract are determined by the client and the freelancer. 3. Everijob is not a party to the contract between the client and the freelancer.

SERVICE CONTRACTS AND DIRECT CONTRACTS: -. There are two types of contracts that can be created on Everijob: service contracts and direct contracts. 2. Service contracts are contracts between clients and freelancers that are facilitated by Everijob. 3. Direct contracts are contracts that are entered into directly between clients and freelancers without the involvement of Everijob.

DISPUTES AMONG USERS: -Everijob will mediate disputes between users in good faith. 2. Everijob's decisions in disputes are final and binding. **Confidential Information** 1. You agree to keep all confidential information confidential. 2. Confidential information includes any information that is marked as confidential or that is otherwise communicated to you in confidence.

DISPUTE PROCESS, ARBITRATION, AND SCOPE: - Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be finally settled by binding arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce. - Arbitration shall take place in London, United Kingdom. - The decision of the arbitration tribunal shall be final and binding on both parties.

DISPUTES BETWEEN YOU AND Everijob: - Disputes between Users and Everijob shall be resolved through informal negotiations. - If informal negotiations fail, disputes shall be subject to binding arbitration in accordance with the terms set forth in this Agreement.

COMMUNICATING THROUGH THE SITE; NOT SHARING CONTACT DETAILS: - Communication between Employer and Freelancers should be conducted through the Everijob platform. - Users are prohibited from sharing personal contact information, such as phone numbers or email addresses, with each other outside of the platform.

USER REGISTRATION: -To access the Services (Marketplace), you must create a user account an account by providing your email address and creating a password. You agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account.

USER CONDUCT: - You agree to use the Marketplace only for lawful purposes and in accordance with this Agreement. You agree not to use the Marketplace:

- To post or transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, or racially, ethnically, or otherwise objectionable content.

- To impersonate any person or entity, including Everijob or its employees or agents.

- To collect or store personal data about other users without their consent.

- To use the Marketplace for any commercial purposes without Everijob's express written consent.

USE OF THE SERVICES: - You may use the Services only for lawful purposes. You may not use the Services to engage in any illegal activity, including but not limited to: - Infringing the intellectual property rights of others - Transmitting or distributing malicious software - Engaging in fraud or misrepresentation - Harassing or threatening other users

USE OF THE WEBSITE (MARKETPLACE): - You may use the Website only for lawful purposes and in accordance with this Agreement. * You agree not use the Website to:

• Post or display any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libellous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.
• Forge headers or otherwise manipulate identifiers to disguise the origin of any Content transmitted through the Website.
• Collect or store personal data about other Users without their consent. * Transmit any viruses, worms, trojan horses, or other malicious code.
• Interfere with or disrupt the operation of the Website or any servers or networks connected to the Website.
• To use any automated means, such as spiders, robots, or data mining techniques, to access the Marketplace.
• Attempt to gain unauthorized access to any part of the Website, other users' accounts, or computer systems connected to the Website.
• To impersonate any person or entity. * To infringe the intellectual property rights of others.

CONFIDENTIALITY: - You agree to keep confidential all information that you obtain from 4normad or its users in connection with the Services. You may not disclose such information to any third party without our express written permission.

USER-GENERATED CONTENT: - You may post or transmit content, including text, images, videos, and other materials, to the Marketplace (the "User-Generated Content"). You grant Everijob a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the User-Generated Content in any media or format, whether now known or hereafter developed. You represent and warrant that you have all necessary rights, licenses, and permissions to grant Everijob the rights granted in this Section. Content** * The Content posted or displayed on the Website is the responsibility of the User who posted or displayed it. * Everijob is not responsible for the accuracy, completeness, or quality of any Content. * Everijob may, but is not obligated to, review Content for violations of this Agreement. * Everijob may remove or edit any Content that it determines, in its sole discretion, violates this Agreement.

The Marketplace contains a variety of content, including but not limited to text, images, videos, and audio. This content is provided by a variety of sources, including but not limited to Marketplace users, Employers, and Everijob.

FEES: - The Services are provided for a fee. The fees for the Services are set forth in the Marketplace, Freelancer, and Employer Terms of Service.

PAYMENT: - Payment for the Services is due in advance. You agree to pay all fees and charges incurred in connection with your use of the Services.

TAXES AND BENEFITS: - You are responsible for paying any taxes or contributions that are applicable to your use of Everijob. 2. Everijob does not provide any benefits or insurance to users.

INTELLECTUAL PROPERTY: - The Marketplace and its content, including but not limited to text, graphics, logos, images, videos, and software, are the property of Everijob and its licensors and are protected by copyright, trademark, and other intellectual property laws. You agree not to copy, modify, distribute, sell, or create derivative works from the Marketplace or its content without Everijob's express written consent.

DISCLAIMER OF WARRANTIES: - THE MARKETPLACE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Everijob DOES NOT WARRANT THAT THE MARKETPLACE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE MARKETPLACE OR ITS CONTENT ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. Everijob MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THE SERVICES OFFERED BY FREELANCERS ON THE PLATFORM. - USERS ACKNOWLEDGE AND AGREE THAT THEY ARE SOLELY RESPONSIBLE FOR EVALUATING THE PRODUCTS AND SERVICES BEFORE MAKING ANY PURCHASES

LIMITATION OF LIABILITY:- IN NO EVENT SHALL EVERIJOB, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE MARKETPLACE OR ITS CONTENT, EVEN IF EVERIJOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LIMITATION OF LIABILITY EVERIJOB SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THE PLATFORM

INDEMNIFICATION: - Users agree to defend, indemnify, and hold harmless Everijob, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Marketplace or its content, your breach of this Agreement, or your violation of any law or the rights of any third party.

TERMINATION: - Everijob may terminate your account and access to the Services at any time, with or without notice, for any reason or no reason. Upon termination, you must cease using the Marketplace. All provisions of this Agreement that are intended to survive termination shall remain in effect after termination.

GOVERNING LAW AND DISPUTE RESOLUTION: - This Agreement shall be governed by and construed in accordance with the laws of the of England and Wales, without regard to its conflict of law rules. Any dispute arising out of or in connection with this Agreement shall be resolved exclusively in the courts of the United Kingdom

SEVERABILITY: - If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in in full force and effect

WAIVER: - No waiver by Everijob of any provision of this Agreement shall be effective unless made in writing and signed by an authorized representative of Everijob. No waiver of any breach of any provision of this Agreement shall be deemed a waiver of any subsequent breach

ENTIRE AGREEMENT: - This Agreement constitutes the entire agreement between you and Everijob with respect to the Services. Any prior or contemporaneous agreements, communications, or representations, whether oral or written, are superseded by this Agreement and supersedes all prior agreements, representations, and understandings between the parties.

ASSIGNMENT: - You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights or obligations under these Terms at any time without notice.

DEFINITIONS: -"Content" means any text, images, videos, or other materials that are posted or displayed on the Website. * "Marketplace" means the section of the Website where users can buy and sell goods and services. * "Freelancer" means an individual who provides services to clients through the Website. * "Employer" means an individual or company that provides goods or services to Freelancers through the Website. * "User" means any individual or company that accesses or uses the Website.
